Terms & Conditions

A family storage of stem cells at Cellaviva is divided into 3 steps; (1) ordering of Cellavivabox, (2) collection and analysis, and (3) storage.

1. Ordering the Cellavivabox

Family storage of stem cells begins with ordering a Cellavivabox. The Cellavivaboxen is delivered within five business days after you place your order. When the birth starts, call the Cellaviva hotline and bring the Cellaviva box to the birthplace. The cellaviva box contains all the necessary equipment to collect stem cells. You can find complete terms and conditions below.

2. Collection and Analysis

Collection of the stem cells is performed after the baby is born and the umbilical cord is cut. When the collection is complete, the stem cells are carefully packed in the Cellavivabox along with the signed collection form and the blood sample from the Mother. Cellaviva’s midwife ensures that the box is sent to the laboratory for analysis and freezing.

3. Storage

Stem cell storage begins when the umbilical cord blood and umbilical cord tissue have been analyzed and the stem cells are frozen in Cellaviva’s biobank. It is the mother who enters into an agreement on the handling and storage of the stem cells. The complete Agreement is available for download below.

Cellaviva only sells to individuals. You can book safely and easily via our website, by phone: 89 88 02 88, or by email: info@cellaviva.dk. You can always change your order or cancel. All products are adapted to the Scandinavian market.

Customer service

We are interested in our customers and want you to feel safe when you shop with us. Our customer service can help you with any questions regarding our offer or purchase. We do not charge any fees by telephone contact. Should any problems arise with your purchase, we will always try to resolve it with you in the best possible way. We will follow the recommendations of the Competition and Consumer Agency if a case should arise.

Prices and payment terms

All prices on cellaviva.dk include taxes. We offer payment via invoice for both collection, analysis and storage and we have different payment options. For more information and payment terms, see section 5 Payment in the purchase terms.

Delivery

The product is delivered in collaboration with logistics partners to a delivery point close to the address you specified when ordering. Cellaviva sends orders on weekdays.

Free delivery

We offer free delivery. More information and delivery terms can be found under § 7 Delivery in the purchase conditions.

14 days cancellation right

You always have 14 days right of cancellation from receipt of your ordered products. If you wish to use your right of withdrawal, please contact us by email at:
info@cellaviva.dk or by phone: 89 88 02 88. More information and conditions regarding the right of withdrawal can be found under §8 Right of withdrawal and repurchase in the conditions of purchase.

Complaint

With us, you always have three years of claim rights as a private person. The right of complaint covers original errors and ensures free return to us. If you find an error in a product you purchased from us, please contact us as soon as possible by email: info@cellaviva.dk or by phone: 89 88 02 88. For more information and conditions regarding complaints, see §9 Complaint and guarantor in the purchase conditions.

Return

When the products or materials are returned to us, they must be packaged in such a way that they are protected during transport. We recommend that you pack products in the same way as when they are delivered to you and use a traceable delivery method when returning them. To return products with a prepaid return ticket, please contact us. Return of the Cellavia box costs 750 SEK including VAT (except for returns due to an approved reason). More information and return conditions can be found in section § 10 Returns.

Security

We ensure that data submitted at the time of purchase or any contact with us is processed securely. We only work with serious payment partners to protect you as a customer. When you make a purchase, your information will be stored and processed in digital and written format. We are responsible for ensuring that data is stored and processed securely in accordance with the Personal Data Processing Act.

PURCHASE CONDITIONS – CELLAVIVABOX

§ 1 General conditions

These Terms of Purchase (the “Agreement” below) are adapted for Internet sales (distance trading). Cellaviva, a subsidiary of NextCell Pharma AB, (corporate identity number: 556965-8361) is the selling party. The Purchasing Party is called Customer in this Agreement. The terms of the Agreement are adapted for sale to persons over the age of 18 in Denmark and for the sale of goods (“Products” below).

As a customer it is easy to place an order onhttps://www.cellaviva.dk (“Website” below) as well as per phone or email.

The provisions of this Agreement apply to purchase agreements entered into as of September 19, 2016. For added clarity, a date code is located in the header. If the terms of the Agreement have been changed, an end date will also be specified. If the end date is set, the Agreement will be valid until 1 p.m. 00:00 on the date the Agreement expires. You as a customer will have the opportunity to accept these terms and conditions when you place your order.

Terms in this Agreement or parts thereof that deviate from applicable law will not be enforced to the extent that the deviation is not to the benefit of the customer. This provision only applies if the customer is a private individual and the purchase relates to private consumption.

Other Agreements Purchases of certain products may result in additional agreements (“Other Agreements” below). Other agreements may involve obligations to you as a customer, such as payment obligations or credit agreements. Details of Other Agreements and their terms and conditions are clearly stated on the relevant product page. You as a customer approve the other agreements in connection with the signing of this agreement.

§ 2 Order

At Cellaviva it is easy and convenient to order products. We offer secure payment options and secure deliveries. Cellaviva will receive your order when you click the “Complete Order” button at checkout (Step 3 of 3). By clicking on the “Complete order” button you as a customer accept payment responsibility for your order. Once Cellaviva has received your order, you will receive the “Order Confirmation Cellaviva” email at the email address you provided when you ordered. You have ordered our product when you click on the “Complete order” button. Cellaviva also offers bookings by phone: 89 88 02 88 or by e-mail to: info@cellaviva.dk.

Buy safely with right to change your order If you change your mind, you can change your order by contacting our customer service via email at: info@cellaviva.dk or by phone: 89 88 02 88. Change of order must be announced before the order is packed.

Buy safely with the right to cancel the order if you regret We can cancel your order for you. Contact our customer service via email at: info@cellaviva.dk or by phone: 89 88 02 88. Cancellation must be announced before the order is packed.

§ 3 Prices and fees

Prices are stated in Danish kroner (DKK), including VAT according to applicable tax rates. VAT for taxable products is 25%.

Fee for unpaid shipping If you as a customer do not want to pick up your order in the agreed way, we charge a fee of DKK 750 including VAT. The fee is required to cover additional shipping and handling costs. Please note that if you do not receive or pick up a shipment, it will not automatically cancel the order. It is necessary to contact Cellaviva’s customer service at info@cellaviva.dk or by phone: 89 88 02 88 in case of cancellation, change or cancellation of order. Otherwise you will be billed 750 DKK. Further information can be found under Section 8 Right of withdrawal and repurchase below.

Fee for prepaid return fee If you apply prepaid return shipping bills, a fee of DKK 750 including VAT will be charged.

Offer. Offers and promotions that can be found on the Website are valid as long as stocks last unless otherwise stated in the terms of the offer.

§ 4 Products and range

All products offered on the website are adapted for use in the Scandinavian market. This means, among other things, that the products comply with the Danish and Swedish environmental and safety regulations. Normally, the instruction manual is included in Danish if needed to use the product. Any technical specifications, special requirements for the medical device and information on restrictions and seals may be found on the product description concerned to the extent that it is reasonable or required by law.

§ 5 Payment

Invoice Payment Cellaviva offers customers payment of invoices with 20 days payment deadline, plus an invoice fee. If no payment is received, a reminder fee of DKK 60 will be added and an interest rate of 8% will be added. At the time of purchase, a normal credit check is performed, which in some cases may include credit information on the customer. If the customer is a private person or a self-employed person, a request copy is sent to the customer by mail. In case of invoice payment, the customer’s data will be stored and handled for the purpose of performing customer analysis, identification and credit checks.

 

§ 6 Conclusion

This deal starts when you click the “Complete Order” button at checkout. Cellaviva has completed its part of this agreement once you have received delivery of ordered products. You, as a customer, have completed your part of this agreement when you have received delivery of ordered products and completed the full payment as agreed.

§ 7 Delivery

The product is delivered in collaboration with logistics partners to a delivery point close to the address you specified when ordering. Cellaviva sends orders on weekdays.

Shipping costs Cellaviva offers free delivery.

In cooperation with DHL (standard Freight) the Cellaviva box is delivered within 5 business days from the day the order was shipped from Cellaviva’s warehouse. You will be notified when you can pick up the package. The package must be picked up within 14 days from the date the package is ready to be picked up. If a delivery is returned to Cellaviva, we will assume that you cancelled your purchase for no valid reason and as a customer you will be charged a return fee of DKK 750 including VAT.

Delivery delay. If a delivery delay occurs, the customer has the right to terminate this agreement free of charge. In the event that the purchase intended for a product to be customized, manufactured or purchased in accordance with the customer’s wishes and Cellaviva is unable to reuse the product without material damage, the customer is only entitled to cancel the purchase if the purpose of the purchase is lost due to the delay and Cellaviva should have realized this.

Transport responsibility. The responsibility for shipment passes to you as a customer once the shipment has been handed over to you. This means that Cellaviva is responsible for the shipment of the shipment until the shipment reaches you.

§8 Right of withdrawal and withdrawal

Right of withdrawal. Customers who accept this agreement as a private individual have the right to cancel the agreement in accordance with the law (2005: 59) for distance deal and agreement outside business premises (for distance sales agreements and agreements outside business premises). The right of withdrawal does not apply to customers who have entered into this Agreement as a trader. The cancellation right is valid for 14 days (withholding period), the time is calculated from the date you as the customer received the delivery. The right of withdrawal entitles the customer to examine the goods and return them in case the customer regrets the purchase. Once the customer has returned his purchase, he or she has the right to recover what he has paid, provided that the customer has not used the products. When using the cancellation right, the customer must notify Cellaviva and then return all products covered by the order to Cellaviva without undue delay, but not later than 14 days. Upon return, the customer must pay the return fee. Once the customer has announced that he or she is using his right of withdrawal, Cellaviva will refund without undue delay, but not later than 14 days, provided that Cellaviva has received the products returned by the customer or if the customer has submitted the return documentation. Refunds are made using the same payment method used by the customer, as far as technically possible. Any write-downs and deductions for shipping if the customer has chosen an alternative to standard shipping can be made on the refund. If orders have been made for invoices that have not yet been paid, the invoice will be shredded. If the customer returns fewer products than the customer has received, only the product value of the returned products will be refunded. When the customer uses the prepaid postage label on return, the applicable return shipping fee will be deducted from the refund.

§9 Complaints and Warranty

Guarantee. A customer who has purchased a product as a private individual is entitled to lodge a complaint against the product if it is incorrect in accordance with the Consumer Act (Consumer Act) (1990: 932) and the Consumer Services Act (Consumer Services Act) (1985: 716). ). The warranty includes original defects and is valid for 3 years after the customer has received the product. The right to complain also includes errors that occur during transport of the product to the customer (See Disclaimer below). A product that deviates from what is agreed between the customer and Cellaviva or otherwise shows errors may also be considered incorrect. Errors arising from damage caused by the customer are not counted as errors in origin. If the customer makes a complaint about a wrong product after 6 months from the customer’s receipt of the product, the customer is also responsible for proving that the product was defective upon receipt. Therefore, Cellaviva always recommends researching products when they are delivered and pointing out any errors as soon as they are discovered. In case of complaints about incorrect product, you as a customer are primarily entitled to have the product repaired or receive a new product. In some cases, you also have the right to terminate the contract and recover what you have paid. In the event of a complaint, the customer must be informed of any costs associated with the complaint. For example, costs for returning an incorrect product must be borne by Cellaviva. Please note that as a customer, you should minimize any costs in case a product proves to be incorrect. In the event of a complaint, each party must return what they have received without undue delay, in the event Cellaviva is required to re-deliver, the customer is entitled to retain the defective product until it has received delivery of the correct product.

§ 10 Returns

When returning products or materials to Cellaviva, the products must be packaged in such a way that they are protected during transport. Cellaviva therefore recommends that you always pack products in the same way and with the same packaging as when the products were delivered to you. If you pack products to an inferior standard and the product is damaged during transport to Cellaviva, you as a customer bear the responsibility for the damage.

When returning products to Cellaviva, you are responsible for the products reaching Cellaviva in undamaged condition. Cellaviva recommends that the customer use traceable shipping when returning.

Return with prepaid postage label. Contact Cellaviva if you would like to return products with a prepaid return postage label. When you use a return receipt, you as a customer will be charged a fee as set out in Section 3 Prices and Fees in these Terms and Conditions. However, the return fee will not be charged if a return is made due to an approved complaint. Cellaviva takes the transport risk when returning with a prepaid return postage label.

Refund. Cellaviva repays the money without undue delay in using the right of withdrawal or if a refund is given in a complaint.

§ 11 Reservation

Withdrawal All products may be withdrawn until the Customer has fulfilled its obligations under this Agreement. This means that ownership is transferred to the customer when the customer fulfills its obligations under the Agreement. The customer is thus not entitled to consume, use, sell or otherwise until the ownership is transferred to the customer, which prevents the products from being recalled by Cellaviva.

Termination. Cellaviva reserves the right to terminate the Agreement in the event that the Customer acts in bad faith due to errors known or discovered by the Customer, such as incorrect price or quantity information on the Website. In the event that Cellaviva terminates the Agreement under this reservation, the customer is not entitled to compensation or other compensation from Cellaviva.

Changing Reservations. Cellaviva reserves the right to change the content of the Website without notice, including but not limited to offers, prices and promotions. However, such a change does not affect the existing agreements between Cellaviva and the customer.

Disclaimer. Cellaviva is deemed to be exempt from all obligations under this Agreement on liability due to events arising outside of this Agreement, Cellaviva or as a result of any applicable law.

§ 12 Disclaimer

Force majeure. In the event of government intervention, new legislation, labor law conflict, war or danger of war, major disturbances in public policy, sabotage, extreme weather, fire, explosion, natural disaster, accident or other circumstances beyond Cellaviva’s control and which Cellaviva could not reasonably having overcome or foreseen, Cellaviva is entitled to waive its obligations under this Agreement. In that case, Cellaviva will not be liable for any damage suffered by the customer.

External links. Cellaviva is not responsible for any damages and problems with the customer’s software or hardware as a result of the customer’s use of external links published on
https://www.cellaviva.dk.

Subject to price fluctuations or other barriers to trade. In the event of price fluctuations or other barriers to trade, such as a lack of necessary components where Cellaviva cannot reasonably be expected to fulfill its obligations under this Agreement, Cellaviva is entitled to terminate the agreement. In this case, the customer is not entitled to compensation or other compensation from Cellaviva.

Subject to tax and tax changes. Cellaviva has the right to terminate the Agreement in the event of any material tax or tax changes which are material to the terms of this Agreement. In this case, the customer is not entitled to compensation or other compensation from Cellaviva.

Subject to delivery delay beyond Cellaviva’s control. If a delivery delay occurs due to an event beyond Cellaviva’s control, Cellaviva cannot be held liable for any damages that may occur as a result of such delivery delay. In such a case, the customer is not entitled to compensation or other compensation from Cellaviva, unless otherwise expressly agreed between Cellaviva and the customer or by provisions of the law.

§ 13 Personal information and privacy

Data such as personal data or other information submitted by the customer to Cellaviva will be stored and processed in digital format. Cellaviva is responsible for the data being stored and processed in accordance with the Personal Data Act. Customers’ personal data is used by Cellaviva to enable and ensure compliance with the Agreement.

– Acting parties in laboratory technology for the purpose of ensuring compliance with the Agreement
– Acting parties in logistics with a view to ensuring compliance with the Agreement
– Acting parties to payment services for the purpose of ensuring compliance with the Agreement

Register Print. If you have entered into this Agreement as an individual, you have the right to request a printout of the registry once a year. A printout from the registry indicates what information is kept about you. You request this by sending a signed request to the above postal address. If the information we hold about you is incorrect, incomplete or misleading, we will of course correct it.

Registration of customer information. As a customer, upon written and signed request, you may have your customer information at Cellaviva deleted, with the exception of any information necessary for Cellaviva to maintain good registration and accounting practices.

§ 14 Others

Report to the police. Cellaviva reports fraud, attempted fraud and prank orders to police.

Discrepancy between different publications. In case of differences between the various publications, the information published most recently and in Swedish must be considered correct. However, this does not apply to data that is clearly incorrect or misleading when comparing the various publications.

Intellectual property rights, logos and trademarks. All material published on the website, including software, logos, audio files, trademarks, as well as text & images, is protected by intellectual property. The protection means that the material may not be used without the permission of the copyright holder, the material may not be copied or otherwise transferred to third parties without the express permission of Cellaviva. Any violations are reported.

The purpose of the information. All information on the website, regardless of format, is published solely for the information of visitors to the website. Cellaviva is thus not responsible for the consequences or damages that may occur if this information is used for purposes other than the above.

Cookies. Cookies are small files that are stored on the guest’s computer when they visit a website. The website uses the following types of cookie files: session cookies: temporarily stored on the guest’s computer for the website to be used seamlessly. When the guest turns off his browser, session cookies are also deleted. Permanent cookies: are stored on the guest’s computer and are persistent. Permanent cookies are used, among other things, to identify a returning visitor and sometimes to statistics. Opt-in: on the website you always have the option to choose whether cookies should be stored on your computer when you visit the website. If you choose not to accept this, no permanent cookies will be stored on your computer, but this may cause our website to not function optimally when you visit it.

Dispute. If a dispute arises between Cellaviva and you as a customer, this will be decided by the Court in accordance with applicable law. Cellaviva will follow decisions from the Competition and Consumer Agency.
